Toepasselijk op: Oraphi Health B.V., handelend onder de naam Oraphi Health (hierna: “Oraphi”)


1. Definitions

In deze algemene voorwaarden wordt verstaan onder:
​• Oraphi: Oraphi Health B.V., gevestigd in Nederland.
​• Cliënt: de natuurlijke persoon of rechtspersoon die gebruikmaakt van de diensten van Oraphi.
​• Diensten: alle door Oraphi aangeboden diensten, waaronder maar niet beperkt tot medische consulten, diagnostiek, preventieve gezondheidsprogramma’s, ​ ​leefstijlbegeleiding, testen (zoals bloed-, DNA- of andere metingen) en aanverwante producten of adviezen.
​• Overeenkomst: iedere overeenkomst tussen Oraphi en de cliënt betreffende het afnemen van diensten.
​• Behandelaar: arts, medisch specialist of andere zorgprofessional die namens Oraphi handelt.

3. Toepasselijkheid

3.1 These general terms and conditions apply to all offers, quotations, agreements, and services of Oraphi.
3.2 Deviations from these terms are only valid if agreed in writing.
2.3 If a provision is found to be null or void, the remaining provisions shall remain in full force.

4. Nature of the services

4.1 Oraphi provides medical and preventive health services with a strong personal and scientifically based character.
4.2 The services provided by Oraphi are primarily non-insured care and fall outside the regular insured care system, unless expressly stated otherwise.
4.3 The advice and insights provided by Oraphi are based on medical science, data analysis, and professional guidelines, but do not constitute a guarantee of results.
4.4 Oraphi does not provide acute or emergency care.

5. Formation of the agreement

5.1 An agreement is established after written or digital confirmation by Oraphi, or as soon as the client actually uses the services.
5.2 Oraphi reserves the right to refuse clients if participation is deemed medically, ethically, or organisationally irresponsible.

6. Obligations of the client

6.1 The client provides accurate, complete, and up-to-date information about their health status.
6.2 The client is responsible for following advice and consulting regular healthcare providers in a timely manner if symptoms worsen or new symptoms arise.
6.3 The client must promptly report any changes in health status or medication.

7. Rates and payment

7.1 All rates are inclusive of VAT, unless stated otherwise.
7.2 Payment must be made within the period specified on the invoice.
7.3 In the event of late payment, Oraphi is entitled to charge statutory interest and collection costs.
7.4 Oraphi reserves the right to suspend services in the event of payment arrears.

8. Cancellation and rescheduling

8.1 Appointments can be cancelled or rescheduled free of charge up to 24 hours before the appointment.
8.2 In the event of cancellation within 24 hours prior to the appointment, Oraphi may charge 50% of the costs.
8.3 In the event of cancellation within 12 hours prior to the appointment or in case of no-show, Oraphi may charge the full costs.

9. Medical responsibility and liability

9.1 Oraphi and its practitioners act in accordance with applicable professional standards.
9.2 Oraphi is not liable for damages resulting from:
​• Incorrect or incomplete information from the client;
​• Failure to follow advice;
​• Decisions made by the client independently based on provided information.
9.3 The liability of Oraphi is limited to the amount paid out by the liability insurance in the relevant case.

10. Intellectual property

10.1 All materials, reports, advice, and content provided by Oraphi remain the intellectual property of Oraphi.
10.2 These may not be reproduced or shared with third parties without prior written consent.

11. Complaints

11.1 Complaints must be reported in writing within a reasonable time.
11.2 Oraphi will handle complaints carefully and strive for an appropriate solution.

12. Applicable law and disputes

12.1 Dutch law applies to all legal relationships.
12.2 Disputes will be exclusively submitted to a competent court in the Netherlands.

13. Changes

13.1 Oraphi reserves the right to amend these general terms and conditions.
13.2 The most current version is always available via the Oraphi website.
